Terms of Service

1. General Provisions

These Terms apply to all services rendered by Octo Pro Studio. If a specific Statement of Work (SOW), Quote, or formal contract is executed between Octo Pro Studio and the Client, the terms of that specific agreement will supersede these general Terms in the event of a conflict.

2. Scope of Services

We provide premium creative execution based strictly on the parameters outlined in your accepted proposal or quote.

• Revisions: Design and production proofs include a set number of revisions as defined in your quote. Additional revisions will be billed at our standard hourly rate.
• Out of Scope: Requests for major structural changes, material swaps, or expedited delivery after a project has entered the production phase will require a Change Order and may incur additional costs.

3. Client Responsibilities

To deliver rapid, flawless execution, we require the Client to maintain a cooperative environment. The Client agrees to:

• Provide timely feedback and formal approvals on all design proofs and material samples.
• Ensure our installation team has unimpeded access to the physical site during agreed-upon installation windows.
• Ensure the installation site is properly prepared and free of hazards prior to our arrival.

4. Fees & Payment Terms

Healthy partnerships require transparent financial terms. By engaging our services, you agree to the following:

• Deposits: Fabrication and print projects typically require a non-refundable deposit (e.g., 50%) before material procurement and production begin.
• Payment Terms: Final balances are due upon project completion or installation, strictly Net 30 days from the date of issue unless otherwise specified.
• Ownership: Octo Pro Studio retains physical ownership of all fabricated goods and signage until the final invoice is paid in full.

5. Intellectual Property

Upon final payment, the Client receives full rights to the final delivered goods and approved visual designs. However, Octo Pro Studio retains the rights to all preliminary concepts, unused sketches, and proprietary fabrication methods. We also reserve the right to photograph completed projects for our portfolio and marketing materials unless a strict NDA is in place.

6. Limitation of Liability

While we engineer solutions designed for maximum durability, Octo Pro Studio shall not be held liable for:

• Damage to signage or installations caused by extreme weather, vandalism, or third-party tampering post-installation.
• Project delays caused by global material shortages, shipping disruptions, or acts of God (force majeure).

In no event shall our total liability exceed the total amount paid by the Client for the specific project in question.
